Not quite but type end result is the same. The only reason the kids have any power in the company is because of the divorce agreement and some bylaws that were agreed to. Logan went to her to ask her to allow for a revision to those bylaws and she agreed for whatever reason (well I think she now thinks her kids should be trying to succeed in their own). So that supermajority provision is now gone. Tom told Logan about this; I doubt Logan even realized it was there it sounded like it was buried so deep in some contract no one knew it was there.

As for why Tom did this, Tom realizes that success in business cannot rode in blood alone. This isn’t a monarchy. Tom got access via Shiv but wants to prove his own value; Logan and Mr Vice Media probably guaranteed him some powerful position in exchange.

she wanted to keep (get?) that english residence, the Onion was sniffing around for a MBE or some other title horseshit, and the kids were all “oh, what if new stepdad rips her off?” instead of asking what Logan would want in return for these favors

he’s been likely doing what he always does, stringing a negotiation along until he has something that absolutely
benefits him, and then instantly closing. probably just made a quick call to say he’d give her all that if she removed the supermajority clause and closed it out

shiv’s conversation with her mom was this missed opportunity to read between the lines and ask questions because it was made clear
1. Mom perhaps didn’t care much about parenting, but her stated intention in letting Logan have the kids was that they’d legally hold on to part of the company
2. dear old mum and Peter would so much like to maintain their position, and perhaps better it, in british society
3. Mom’s marriage was triggering a re-evaluation of the divorce agreement

Thinking back on it (and rereading the above posts), Tom definitely fucked Shiv over. Couldn't square posts about Logan's drawn out negotiation with a rapidfire clause removal based purely off Tom's info. Suppose there's a chance that such a removal was always possible after Logan learned of it from the 3? So there is still a chance Tom knows who gets fucked and hedged?

I wonder if Logan couldn't have sewn the thing up after the kids arrived anyway. It seems their plan for a coup had a fatal flaw independent of Tom, and that undercuts the betrayal and Tom's gain. He is still married to the coup.

lol i read something this am that jeremy strong had the show build him a pillar to sit on as he had his breakdown with shiv and roman but it wasn't working, he claimed he felt like a failure, and then sat on the ground and boom knew they had something. i will say great acting on all three of the actors part though

i had mixed feelings about that ep but i enjoyed tom & greg teaming up and tom screwing over shiv. i don't even think tom cares that much about staying in power at waystar, he was just genuinely hurt by shiv. he has feelings and the roys don't know how to deal with feelings (see also roman and shiv's responses to kendall's confession).

i suspect that logan already had his contingency plan set up in case the kids blocked him and he didn't really need tom to give him the heads up (everything happened too fast for tom's warning to be helpful), but logan still appreciates the heads up as a sign of loyalty.

i think it finally dawned on tom just how capricious shiv and the rest of the kids are where logan will actually reward you for loyalty or is at least cognizant of the concept and its benefits, he told tom he wouldnt forget re the offer to go to jail and so forth, and of course logan always wins, then add that to the fact that shiv just generally despises tom and treats him like shit
